Terms & Conditions
1. Provider and business customers
These terms govern the supply of vaubook restaurant reservation software to businesses acting for their commercial or professional purposes. They do not govern a guest’s restaurant reservation.
vaubook is a brand of vaublock GmbH. The provider is vaublock GmbH, Neustr. 100, 41334 Nettetal, Germany, represented by Alina Voigt. Email: info@vaublock.de. PT kami creative solutions represents vaubook in Indonesia. For Indonesian customers, PT kami creative solutions may collect payment through its local bank account on behalf of vaublock GmbH, as identified on the invoice. This does not change the contracting provider. Payment to the authorised account discharges the corresponding amount owed to the provider.
2. Agreement and service scope
The order confirmation identifies the provider, customer, restaurant locations, plan, price, currency, payment interval and service start. Individually agreed provisions take precedence. A data processing agreement governs the processing of restaurant guest data and takes precedence for that subject matter.
vaubook supplies browser-based reservation and table-management software. Available functions depend on the agreed plan and configuration. Core includes operational reservation management and Overview; Insights belongs to Growth. Branding, booking-form integration, floor-plan configuration, capacity settings, closures and kitchen buffers form part of the agreed Core functionality. English is included; any additional language is agreed separately.
The restaurant remains the contracting party for its hospitality services and is responsible for its booking policies, availability configuration and communications to guests. vaubook does not promise a particular booking volume, revenue increase or absence of no-shows.
3. Setup, support and optional services
Standard setup and product support are included without an additional fee. There are no per-reservation or per-guest commissions. Additional locations, optional integrations or bespoke work carry a charge only where clearly quoted and agreed beforehand.
Feature suggestions are welcome. Discussing a request does not create an obligation to develop a particular feature or meet a delivery date unless the parties expressly agree it. Support is available by email at info@vaublock.de. No fixed response-time commitment applies unless separately agreed.
4. Trials and paid activation
Any trial duration and scope are stated in the trial offer. The trial lasts 30 days unless a different period is expressly offered. It ends without a payment obligation unless the customer expressly orders a paid subscription. There is no automatic paid conversion.
The paid service start must be identifiable in the order confirmation. Trial access does not by itself establish an undisclosed payment obligation.
5. Minimum term, renewal and cancellation
The subscription has an initial minimum term of 12 months from the agreed paid service start. This applies whether payment is monthly or annually. Monthly instalments do not create a monthly cancellation right.
After the initial term, the subscription renews automatically unless cancelled in accordance with the agreed notice requirement. Each renewal is for a further 12 months. Either party may cancel with at least three months’ notice before the end of the initial or renewed term. Mandatory switching and termination rights remain unaffected.
Cancellation may be sent by email to info@vaublock.de, identifying the restaurant and subscription. Notice must be received by the other party before the deadline. The provider will acknowledge a customer cancellation by email.
Cancellation takes effect at the applicable term end; the subscription remains usable and payable until then. Statutory rights to terminate for cause and other mandatory remedies remain unaffected.
6. Prices and payment
The agreed price, currency and tax treatment are shown in the order confirmation. Annual payment qualifies for the stated annual-payment discount. A displayed monthly equivalent for annual billing is a comparison figure; the agreed annual total is the amount payable for that billing period.
Standard setup and support are included, and vaubook does not charge commissions on reservations or guests. Subscription fees are billed in advance for the selected monthly or annual payment interval and are due within 14 calendar days of invoice. Payment is by bank transfer to the account identified on the invoice unless another method is agreed. The invoice identifies vaublock GmbH as provider and any authorised local collection agent. Applicable taxes are stated separately where required; no blanket tax exemption is promised.
Changes to the agreed price during an existing term require a valid contractual basis or agreement. This draft does not authorise price increases merely through customer silence. Payment default is handled under applicable law; any suspension for non-payment requires appropriate notice and an opportunity to remedy where legally required.
7. Customer responsibilities and access
The customer must provide accurate business information, maintain authorised staff access and protect dashboard links and credentials. Access permissions should reflect staff duties. The customer must promptly report suspected unauthorised access. Authorised staff use is permitted within the agreed plan; access must not be resold to unrelated parties.
The customer configures and checks opening times, floor plans, joinable/shareable tables, capacity limits, closures and kitchen buffers. Staff should review exceptions and maintain suitable operational procedures during connectivity or service interruptions. These responsibilities do not remove the provider’s duty to supply the agreed functionality.
The customer must use the service lawfully, provide required guest notices and establish a lawful basis for guest information and marketing. Unnecessary sensitive information should not be entered in free-text notes.
8. Operation, changes and defects
An internet connection and compatible current browser are required. The interface is designed for tablet and mobile use. Maintenance and technical interruptions can occur. No percentage uptime commitment or fixed support response time is created by these terms.
The provider may maintain and improve the software while preserving the agreed material functionality. Material reductions in the contracted service require an appropriate contractual arrangement. The customer should report faults with enough detail to allow investigation. Applicable statutory rights relating to service defects remain available.
9. Data protection and confidentiality
The parties must enter into the required data processing agreement before restaurant personal data is processed on the customer’s behalf. It must describe instructions, security measures, subprocessors, international transfers, incident assistance and return/deletion. This page is not a substitute for that agreement.
Each party must protect the other’s confidential business information and disclose it only to authorised persons or where lawfully required. Customer branding and guest data remain subject to the customer’s and affected persons’ rights. Processing must not be expanded beyond the agreed purposes without an appropriate legal basis.
10. Software rights
During the subscription the customer receives a non-exclusive right to use the agreed service for its restaurant business and authorised staff. Intellectual property in the software remains with the provider or its licensors. Customer-owned branding and content remain with the customer; the provider may use them only as necessary to supply the agreed service. Mandatory statutory software-use rights are unaffected.
11. Liability
The provider remains liable without limitation for intentional wrongdoing, gross negligence, injury to life, body or health, and liability that cannot lawfully be limited. Express guarantees and mandatory statutory liability remain unaffected.
For ordinary negligence involving a material contractual obligation, liability is limited to loss foreseeable and typical of the contract. A material obligation is one necessary to perform the contract and on which the customer may ordinarily rely. Other exclusions apply only to the extent permitted by applicable law.
No provision excludes mandatory data-protection liability or removes statutory remedies merely because a third-party infrastructure provider is involved.
12. Suspension and termination for cause
The provider may take proportionate protective measures where access creates a serious security risk or the service is being used unlawfully. Notice and an opportunity to remedy must be given where appropriate; urgent protective action may be taken where delay would create material harm. Restrictions should be limited to what is necessary and lifted when the reason ends.
Either party retains its statutory right to terminate for cause. Any required warning or cure opportunity must be respected. Rights to refunds, damages or other statutory remedies are not waived by termination.
13. Contract end and customer data
Before service access ends, the parties must arrange any required return or export of customer data. The customer may request exportable customer data and digital assets in a commonly used machine-readable format by emailing the provider. Standard data return is included. The provider will support an orderly transition, normally within 30 calendar days of the requested switching date, and provide at least 30 calendar days to retrieve data after the transition. Active customer data will then be deleted within 30 days unless retention is legally required; residual backups will expire within 90 days and remain isolated from ordinary use. Any overriding statutory switching timetable or customer entitlement takes precedence. No switching fee is charged. The agreed term and payment obligations apply only to the extent consistent with mandatory switching and termination rights.
Personal data will be returned or deleted in accordance with the processing agreement and applicable law. Records required for legal obligations may be retained only for that purpose. Early termination and any refund of prepaid fees are governed by the applicable agreement and statutory rights; no blanket exclusion of refunds is created here.
14. Governing law and final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory provisions that apply irrespective of this choice remain unaffected. For customers who are merchants, legal persons under public law or public-law special funds, the courts having jurisdiction at the provider’s registered seat have exclusive jurisdiction to the extent legally permissible. Otherwise statutory jurisdiction rules apply. Where Indonesian law requires an Indonesian-language agreement, a corresponding Indonesian version must accompany the agreement; this English text does not dispense with that requirement.
Changes to these terms affecting an existing agreement require a valid legal or contractual basis. Individual agreements take precedence. If a provision is invalid, the remaining agreement continues where legally possible and applicable statutory provisions govern the resulting gap.
